Terms of Use

1. Introduction
These Terms of Use (the “Terms”) govern access to and use of finovis.ai and related publicly available FINOVIS digital services, content and features (collectively, the “Website”).
The Website is operated by Finovis Software Solutions LLC-FZ (“FINOVIS”, “we”, “us” or “our”).
By accessing or using the Website, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree with these Terms, you must discontinue use of the Website.
2. Eligibility
The Website and FINOVIS services are intended for persons aged 18 or older.
By using the Website, you represent that you are at least 18 years old and legally capable of entering into the relevant agreement.
3. Regulatory Status
FINOVIS is a technology company providing quantitative trading technology and related services.
Unless expressly stated otherwise, FINOVIS is not currently licensed or authorized as an investment manager, investment adviser or broker-dealer in connection with Strategy Access.
Nothing in these Terms constitutes a representation that FINOVIS holds a financial-services licence or regulatory authorization that it does not expressly identify.
4. Informational Nature
The Website provides general information regarding FINOVIS, its technology, quantitative strategies, Strategy Access, research, insights and related services.
Unless expressly stated otherwise, Website content is provided solely for general informational and educational purposes.
Nothing on the Website constitutes:

investment advice;
-
financial advice;
-
legal advice;
-
tax advice;
-
portfolio management advice;
-
an individual recommendation;
-
an offer or solicitation to buy or sell a financial instrument; or
-
a representation that any service is suitable for any person.
5. Research and Editorial Content
FINOVIS may publish research papers, insights, analyses, market observations, statistics, forecasts and other editorial materials.
Such content may contain opinions, estimates and forward-looking statements.
Future-oriented statements are inherently uncertain and are not guarantees of future events or results.
FINOVIS is not obliged to update previously published research or editorial content following subsequent developments.
Research and editorial materials are not intended to constitute a recommendation to buy, sell or hold any financial instrument.
6. Historical Performance
Historical performance and risk information may include information derived from a FINOVIS reference account or actual historical trading data.
Historical results are not indicative of future performance.
Actual customer results may differ materially from historical or reference-account results.
7. Quantitative Strategy Access
FINOVIS may make available information regarding Quantitative Strategy Access (“Strategy Access”).
Strategy Access may permit eligible customers to authorize automated execution of a FINOVIS quantitative trading strategy through a separate brokerage account maintained in the customer’s name with an independent broker.
Strategy Access becomes available only pursuant to the applicable separate Strategy Access agreement, broker documentation and applicable eligibility requirements.
Nothing in these general Website Terms by itself creates an obligation on FINOVIS to provide Strategy Access.
7.A Geographic Eligibility
Strategy Access is currently offered only to eligible customers located outside the United Arab Emirates.
FINOVIS does not currently offer or provide Strategy Access to persons resident in the UAE.
Strategy Access may be made available in selected jurisdictions outside the UAE, subject to:

applicable laws and regulations;
-
regulatory requirements;
-
broker availability;
-
customer eligibility;
-
applicable restrictions on financial services and financial promotions; and
-
FINOVIS’s internal eligibility criteria.
The availability of Strategy Access in one jurisdiction does not constitute a representation that Strategy Access is available, lawful or suitable in any other jurisdiction.
FINOVIS may restrict or refuse access to Strategy Access where FINOVIS reasonably considers that providing the service could result in a breach of applicable law, regulatory requirements or internal eligibility criteria.
8. Broker Relationship
The customer enters into a separate relationship with the applicable broker.
The broker independently determines whether to:

open or maintain the account;
-
complete KYC, AML and sanctions procedures;
-
accept deposits;
-
permit trading;
-
determine leverage and margin requirements;
-
execute transactions; and
-
process withdrawals.
The broker’s terms govern the brokerage relationship.
9. Customer Assets and No Custody
Customer assets remain with the applicable broker.
FINOVIS does not take custody of customer funds in connection with Strategy Access.
FINOVIS does not have authority to withdraw or transfer customer funds.
Customers should not transfer Strategy Access capital to FINOVIS unless expressly required under a separate written agreement for a specific legitimate purpose.
FINOVIS does not request customers to transfer trading capital to a FINOVIS cryptocurrency wallet.
10. Trading Authorization
Where required, Strategy Access may involve a trading authorization that permits automated strategy execution through the customer’s brokerage account.
Such authorization is intended solely to enable trading activity.
It does not provide FINOVIS with authority to withdraw or transfer customer funds.
The customer may revoke trading authorization through the applicable broker, subject to the broker’s procedures.
Revocation does not necessarily close existing positions automatically.
11. Trading Instruments
Strategy Access may involve Forex Spot and Index CFDs.
The availability of particular instruments depends on the applicable broker, account type, jurisdiction and prevailing regulatory requirements.
12. Leverage
Leverage may be available up to 1:100, subject always to the applicable broker, instrument, account type, customer classification and jurisdiction.
Leverage limits may be lower where required by applicable law, regulation or broker policy.
Leverage magnifies both potential gains and potential losses.
The amount of margin required to open a position should not be understood as the maximum amount that may be lost.
13. Negative Balance Protection
Any negative balance protection or comparable customer protection applies only where provided by the applicable broker or required under the applicable legal and contractual framework.
FINOVIS does not independently guarantee negative balance protection.
14. Automated Trading
Strategy Access may operate on a fully automated basis.
Strategy signals, order generation and execution may occur algorithmically without prior manual approval of individual trades.
Automated systems may produce incorrect signals, encounter software or data errors, experience connectivity failures or behave differently from historical expectations.
Automation does not eliminate investment risk.
15. Customer Control
Customers remain responsible for their brokerage relationship and their decisions concerning use of Strategy Access.
The customer may revoke FINOVIS trading authorization through the applicable broker.
FINOVIS may pause, modify, suspend or discontinue Strategy Access where reasonably necessary for legal, regulatory, technical, risk-management, contractual or other legitimate reasons.
Customers are responsible for providing accurate information concerning their country of residence and for notifying FINOVIS if their circumstances change in a manner that may affect their eligibility to use Strategy Access.
16. Read-Only Application
FINOVIS may provide a Read-Only application or related monitoring functionality (the “Read-Only App”).
The Read-Only App is intended to provide limited information obtained from a connected broker.
Depending on the broker connection, the App may display:

balance;
-
equity;
-
performance; and
-
charts derived from such information.
The intended refresh interval is approximately five minutes.
The Read-Only App does not provide:
-
trading functionality;
-
order-placement functionality;
-
deposit functionality;
-
withdrawal functionality; or
-
authority to modify the underlying broker account.
17. Read-Only Credentials
The Read-Only App may use a broker-provided investor or read-only access mechanism.
A user may use read-only credentials belonging to another person only where the user has been properly authorized by the account holder and/or broker to do so.
The account holder remains responsible for ensuring that any sharing or use of such credentials is permitted by the applicable broker.
FINOVIS does not generally determine whether the person using read-only access is the legal or beneficial owner of the underlying account.
FINOVIS may suspend access where it reasonably suspects unauthorized use, misuse or security concerns.
18. Read-Only App Data
The Read-Only App is designed to retrieve only information reasonably necessary for its monitoring functionality.
FINOVIS does not intend to use the Read-Only App to obtain trading authority, withdrawal authority or deposit authority.
The broker remains the primary source for official account records.
19. Intellectual Property
All original FINOVIS intellectual property remains owned by FINOVIS or the applicable rights holder.
This includes:

text;
-
research papers;
-
insights;
-
graphics;
-
charts;
-
designs;
-
software;
-
source code;
-
object code;
-
algorithms;
-
models;
-
databases;
-
documentation; and
-
other proprietary materials.
Except as expressly permitted, users may not copy, reproduce, distribute, modify, publish, commercially exploit or create derivative works from FINOVIS proprietary materials without prior written permission.
20. Artificial Intelligence and Machine Learning
FINOVIS permits certain publicly accessible FINOVIS content to be used for external AI/ML research and training subject to this Section.
This permission is intended to support research, training, fine-tuning, retrieval, embeddings, evaluation and related AI/ML purposes.
Commercially operated AI/ML systems may use permitted content.
Such use does not transfer ownership of FINOVIS intellectual property.

20.1 Permitted Content
The permission may apply to publicly accessible:

Research Papers;
-
Insights;
-
editorial articles;
-
public research data;
-
statistical information;
-
historical performance and risk data;
-
charts and visualizations; and
-
other public FINOVIS editorial content,
provided FINOVIS has the necessary rights to permit such use.
For purposes of this Section, “publicly accessible” means accessible without login, registration, paywall or other access restriction.
20.2 Excluded Content
The permission does not extend to:
-
customer data;
-
broker data;
-
account data;
-
trading data;
-
balance or equity data;
-
KYC information;
-
personal data;
-
non-public information;
-
internal databases;
-
internal APIs;
-
non-public data feeds;
-
source code;
-
object code;
-
proprietary trading logic;
-
FINOVIS software;
-
credentials;
-
FINOVIS trademarks or logos; or
-
third-party content for which FINOVIS lacks the relevant rights.
Photographs, stock images, videos, animations and audiovisual material are not automatically included.
20.3 Third-Party Content
Content merely embedded, quoted, linked or referenced by FINOVIS does not automatically become subject to the FINOVIS AI/ML permission.
Third-party rights remain unaffected.
20.4 Public Financial Data
Publicly displayed market data, price information, financial data and similar information may be used only to the extent FINOVIS itself has the necessary rights to permit such use.
20.5 Attribution
Where reasonably possible and where the source is known, the following attribution should be used:
“Source: FINOVIS / finovis.ai”
20.6 Commercial AI/ML Models
Permitted content may be used in commercially operated AI/ML systems and models, including systems that are subsequently operated commercially.
Such use does not transfer ownership of FINOVIS intellectual property.
20.7 No Endorsement
AI/ML use does not create a partnership, endorsement, sponsorship, recommendation, agency relationship or other business relationship between FINOVIS and an AI/ML provider.
An AI/ML system must not represent itself as FINOVIS or imply that it is operated, authorized, endorsed or supported by FINOVIS without express permission.
20.8 No Trademark Licence
AI/ML permission does not grant any licence to use:

FINOVIS;
-
the FINOVIS logo;
-
FINOVIS trademarks;
-
FINOVIS branding; or
-
other FINOVIS proprietary marks.
20.9 No Reproduction or Substitution
The AI/ML permission does not authorize systematic reproduction, mirroring or substantial reproduction of FINOVIS content as a substitute for finovis.ai.
AI/ML systems should not intentionally reproduce substantial portions of FINOVIS original content in response to user requests where doing so would effectively substitute for the original content.
20.10 Automated Crawling
Automated crawling or scraping of publicly accessible FINOVIS content is permitted for authorized AI/ML purposes, subject to:

reasonable access rates;
-
applicable technical instructions;
-
robots.txt;
-
published API rules;
-
rate limits;
-
Website security; and
-
avoidance of material interference with Website operation.
No protected area may be accessed through circumvention.
20.11 Security
Nothing in this Section authorizes the circumvention of:
-
authentication;
-
access controls;
-
security mechanisms;
-
technical protection measures; or
-
rate limits.
20.12 Page-Specific Designations
FINOVIS may designate individual pages or content as:
“AI/ML permitted”
or
“AI/ML excluded”.
A specific page-level designation prevails over the general permission in these Terms.
FINOVIS may change such designations for future use.
20.13 Withdrawal for Future Collection
FINOVIS may withdraw permission for future collection or use of particular content.
A withdrawal does not retroactively make lawful prior collection or use unlawful.
20.14 Previously Obtained Copies
Copies lawfully obtained before a withdrawal or change in designation may continue to be retained, processed and used for further research, training, fine-tuning, retrieval, evaluation and related AI/ML purposes.
20.15 Previously Trained Models
Previously trained models, fine-tuned models, embeddings, model parameters and other derived technical artifacts may continue to be:

retained;
-
used;
-
operated;
-
maintained; and
-
commercially deployed.
A later withdrawal does not create any obligation to:
-
retrain a model;
-
delete a model;
-
alter model parameters;
-
remove embeddings; or
-
technically “untrain” or otherwise reverse prior lawful training.
20.16 No Retroactive Violation
A subsequent withdrawal, deletion or change in designation does not retroactively create a breach in respect of AI/ML activities that were lawful when performed.
20.17 Corporate Groups
An AI/ML provider may use permitted content through entities within the same corporate group for the same authorized Research/Training purposes.
Such use does not constitute sublicensing to an unrelated third party.
20.18 No Sublicensing
The permission may not otherwise be sublicensed or transferred to unrelated third parties without FINOVIS’s express permission.
20.19 Personal Data
Nothing in this Section authorizes processing of personal data.
If personal data is inadvertently included in publicly accessible content, this Section does not constitute permission to process that personal data for AI/ML purposes.
20.20 AI/ML Outputs
FINOVIS does not claim ownership of an external provider’s independently generated model or output merely because FINOVIS content was used for permitted training.
However, use of FINOVIS content does not transfer FINOVIS intellectual property rights.
20.21 No Liability for External AI/ML Outputs
FINOVIS is not responsible for:

AI/ML model outputs;
-
decisions based on such outputs;
-
errors in external systems;
-
model behavior;
-
commercial consequences; or
-
other results generated by third-party AI/ML systems using FINOVIS content.
20.22 No Guarantee of Suitability
FINOVIS does not warrant that its content is suitable, complete, accurate or current for AI/ML training, fine-tuning, retrieval, evaluation or other purposes.
No particular model performance is guaranteed.
20.23 Legal Rights
Nothing in this Section restricts rights that apply independently under mandatory law, including statutory copyright exceptions or other legally protected uses.
20.24 Technical Access Controls
FINOVIS may introduce or modify:
-
robots.txt;
-
machine-readable instructions;
-
API rules;
-
access controls;
-
rate limits; and
-
comparable technical signals.
Such controls may govern future automated access.
20.25 Previously Lawful Use
A later technical restriction does not retroactively invalidate use that occurred lawfully before the restriction took effect.
21. Third-Party Services
Third-party services are governed by their own terms and policies.
FINOVIS does not control third-party content, systems, availability, security or performance.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.
FINOVIS makes no warranty regarding:
-
accuracy;
-
completeness;
-
availability;
-
suitability;
-
reliability;
-
uninterrupted operation;
-
fitness for a particular purpose; or
-
future performance.
Nothing excludes liability that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, FINOVIS shall not be liable for indirect, incidental, consequential, special or exemplary losses, including loss of profits, business opportunities, anticipated savings, data or other economic benefits.
FINOVIS shall not be responsible for losses arising from reliance on Website information for investment, trading, financial, legal or tax decisions.
Specific agreements governing Strategy Access may contain separate liability provisions.
Nothing excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.
24. Indemnification
To the extent permitted by applicable law, users shall indemnify and hold FINOVIS harmless from claims, losses, liabilities, damages, costs and reasonable expenses arising from:

unauthorized Website use;
-
violation of these Terms;
-
misuse of FINOVIS intellectual property;
-
unauthorized use of another person’s broker or read-only credentials;
-
violation of third-party rights; or
-
unlawful AI/ML use of FINOVIS content.
25. Assignment
Users may not assign their rights or obligations without FINOVIS’s prior written consent.
FINOVIS may assign or transfer its rights and obligations to an affiliate or in connection with a merger, restructuring, sale, transfer or reorganization of its business, subject to applicable law.
26. Electronic Communications
FINOVIS may communicate electronically through email, the Website or other digital channels.
To the extent permitted by applicable law, electronic communications may satisfy applicable written-communication requirements.
The English-language version of these Terms is the controlling version.
27. Entire Agreement
These Terms, together with the Legal Documents expressly incorporated into them and any applicable specific service agreement, constitute the agreement governing use of the Website.
A specific agreement governing an individual FINOVIS service prevails over these Terms to the extent of any inconsistency.
28. Force Majeure
FINOVIS shall not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, governmental action, cyber incidents, telecommunications or infrastructure failures, power outages, third-party service failures or comparable events.
29. Amendments
FINOVIS may amend these Terms from time to time.
The current version published on finovis.ai shall apply from its stated effective date.
Where permitted by law, continued use of the Website after the effective date constitutes acceptance of the amended Terms.
30. Severability
If any provision is held invalid, unlawful or unenforceable, it shall be interpreted or modified to the minimum extent necessary to make it valid and enforceable, where legally permissible.
The remaining provisions remain in full force and effect.
31. Governing Law and Jurisdiction
Unless mandatory applicable law provides otherwise, these Terms shall be governed by the laws of the United Arab Emirates.
Subject to mandatory applicable law, the courts of Dubai, United Arab Emirates, shall have jurisdiction over disputes arising out of or in connection with these Terms or the Website.
